Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Liftx’s websites, applications, and related services (collectively, the “Service”). The Service is operated by Jointl Inc. (Delaware File Number 7856607, incorporated 2020/02/17, 600 N Broad St Ste 5, Ste 2120, Middletown, 19709, Delaware, USA) (“Liftx”, “we”, “us”, “our”). If you do not agree, do not use the Service.

1. Eligibility; Restricted Jurisdictions

You must be at least 18 years old and have the legal capacity to enter into these Terms.

You may not use the Service if your use is prohibited by applicable law, including U.S. export controls and sanctions laws. We may restrict, suspend, or terminate access where necessary to comply with law or risk controls.

2. What Liftx Provides (and Does Not Provide)

Liftx is a trading terminal designed to help you monitor positions, configure trade setups, and manage orders across supported exchanges using connections you authorize (for example, exchange API credentials).

Liftx is not an exchange, broker, dealer, investment adviser, custodian, or wallet provider. We do not hold customer funds.

3. Exchange Connections and API Keys

If you connect an exchange account, you are responsible for:

  • maintaining your exchange account,
  • generating API credentials with appropriate permissions,
  • safeguarding your API keys and limiting permissions to what you intend.

You authorize Liftx to submit requests to an exchange only within the permissions you configure at that exchange. You are responsible for monitoring your positions and confirming outcomes on your exchange.

We are not responsible for losses caused by:

  • compromised credentials or devices,
  • overly broad API permissions you grant,
  • exchange outages or API changes,
  • network failures, latency, or market conditions.

4. Orders, Automation, and Advanced Features

The Service may support features such as multiple open orders, stop-loss and take-profit configurations (including multi-target ladders), trailing logic, and breakeven-aware controls.

These are tools to help you express and manage a strategy; they do not eliminate trading risk. Execution depends on third-party exchanges and their APIs. You remain responsible for your trading decisions and for monitoring open orders and positions.

5. No Financial Advice; Risk Disclosure

The Service is provided for informational and execution tooling purposes only. Nothing in the Service is investment, financial, legal, or tax advice.

Trading digital assets and derivatives involves substantial risk, including the risk of losing all or a significant portion of your funds. You are solely responsible for your trading decisions and for determining whether trading is appropriate for you.

6. Market Data Disclaimer

Prices, charts, and other market data may be delayed, incomplete, or inaccurate. We do not guarantee the accuracy, completeness, or timeliness of market data displayed in the Service, and we are not responsible for losses caused by market data issues.

7. Account Security

You are responsible for maintaining the confidentiality and security of your Liftx account and any credentials used to access the Service.

Notify us immediately at support@liftx.io if you believe your account has been compromised.

8. Acceptable Use

You agree not to misuse the Service. You will not:

  • attempt to gain unauthorized access to accounts, systems, or data,
  • interfere with the Service (including by malware, abusive automation, or exploitation),
  • use the Service for unlawful purposes, including sanctions evasion or fraud,
  • reverse engineer or attempt to defeat security measures.

9. Intellectual Property; License

We own the Service and all related intellectual property, except where otherwise noted.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business use.

You may not copy, modify, distribute, sell, lease, sublicense, or reverse engineer the Service, except where permitted by law.

10. Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use them without restriction or compensation, unless prohibited by law.

11. Third-Party Services

The Service may integrate with third-party exchanges and providers. We do not control and are not responsible for third-party services, including outages, API changes, pricing, order execution, fees, or restrictions imposed by the third party.

Your relationship with any exchange is governed by that exchange’s terms and policies.

13. Suspension and Termination

We may suspend or terminate access to the Service if we reasonably believe it is necessary to protect the Service, users, or third parties, to comply with law, or if you violate these Terms.

You may stop using the Service or delete your account at any time using available account settings or by contacting support. Account deletion results in loss of access to the Service and triggers deletion of associated personal and trading data in accordance with our Privacy Policy.

14. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOINTL INC. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) USD $0.01 OR (B) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE 1 MONTH BEFORE THE EVENT GIVING RISE TO THE CLAIM.

(Some jurisdictions do not allow certain limitations. In that case, these limitations apply to the maximum extent permitted.)

16. Indemnification

You agree to indemnify and hold harmless Jointl Inc. and its affiliates, officers, directors, employees, and agents from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service or violation of these Terms.

17. Governing Law; Venue

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules.

Except where prohibited by applicable law, you agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue in those courts.

Nothing in these Terms limits any consumer rights you may have that cannot be waived under applicable law.

18. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date indicates when changes were made. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

19. Miscellaneous

  • Assignment: You may not assign these Terms without our consent. We may assign these Terms as part of a merger, acquisition, or sale of assets.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Entire Agreement: These Terms and the Privacy Policy form the entire agreement regarding the Service.
  • No Waiver: Failure to enforce a provision is not a waiver.
  • Service Changes; Availability: We may change, suspend, or discontinue the Service (or any part of it) at any time, including to maintain security, comply with law, or reflect product updates. We do not guarantee continuous availability of the Service.
  • Force Majeure: We are not responsible for delays, failures, or interruptions caused by events beyond our reasonable control (for example, exchange outages, internet or hosting failures, power failures, labor disputes, natural disasters, war, terrorism, civil disturbances, pandemics, or government actions).
